At USRL, safeguarding your personal information is our top priority. This Terms of Service outlines the terms and conditions for using USRL's reverse phone lookup services and related features. By using our services, you agree to be bound by these terms.

1. Acceptance of Terms
Welcome to USReversePhoneLookups (referred to as "USRL," "Company," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of the USRL website located at usreversephonelookups.com and all related services, features, and content (collectively, the "Services"). By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms as well as our Privacy Policy. If you do not agree with any part of these Terms, you must not use the Services. These Terms constitute a legally binding agreement between you (the "User" or "you") and USRL. You represent and warrant that you are at least 18 years old (or the age of majority in your jurisdiction) and are otherwise legally qualified to enter into this agreement. The Services are intended only for users 18 years of age or older. By using the Services, you affirm that you meet these eligibility requirements and will use the Services in compliance with all applicable laws and regulations. We reserve the right to modify or update these Terms at any time. If we make material changes, we will post the revised Terms on our website and update the "Last Updated" date. We may also provide notice to you by email or other means. Continued use of the Services after changes are posted constitutes your acceptance of the modified Terms. It is your responsibility to review these Terms periodically for updates. If you do not agree to any revised Terms, you should stop using the Services.
2. User Accounts and Registration
To use certain features of our Services, you may need to create an account or register by providing a valid email address or other required information. Account Creation: You agree to provide accurate, current, and complete information during registration and to promptly update such information if it changes. You are responsible for maintaining the confidentiality of any login credentials (such as passwords or magic link emails) and for restricting access to your account. Account Security: You must notify us immediately at our support email if you suspect any unauthorized use of your account or security breach. USRL is not liable for any loss or damage arising from your failure to keep your account information confidential and secure. Each User is allowed to create only one account unless expressly permitted by us. You must not: (a) create an account for anyone other than yourself without permission, (b) sell, transfer, or allow any other person to access your account, or (c) use another person's account. User Responsibilities: You are responsible for all activities that occur under your account. You agree to use your account solely for lawful, personal purposes and not for any commercial or unauthorized purposes. If we determine that you have violated these Terms or engaged in fraudulent or unlawful activity, we reserve the right to suspend or terminate your account (see Termination below). By registering for an account, you consent to receive electronic communications from us (such as emails or in-app messages) regarding your account, transactions, security, and other administrative matters. You can manage your communication preferences for marketing messages; however, certain transactional or service-related communications are necessary for our Services and you may not be able to opt out of them (see Communication in our Privacy Policy for details).
3. Subscription Plans and Billing
3.1 Paid Subscription Model
USRL operates on a paid subscription model. While some aspects of the Services may be explored for free, full access to detailed reverse phone lookup reports and related tools requires a paid subscription or trial enrollment. We offer subscription plans designed to meet various needs, which may include a trial period, recurring billing (e.g. weekly or monthly), and optional one-time feature purchases. All pricing and available plans will be clearly disclosed at the time of purchase.
3.2 Trial Period
New users may be eligible to start with a short-term trial (for example, a 7-day trial) at a special introductory price. The specific trial duration, price, and included features or credits (e.g. a certain number of lookup credits) will be presented on the checkout page. Trial Conversion: Unless you cancel before the trial ends, your trial will automatically convert to a paid subscription at the regular rate disclosed. You will be charged the applicable subscription fee at the end of the trial period. We will send you a confirmation email when you start a trial and when your subscription converts to a paid plan.
3.3 Subscription Plans
We may offer, for example, a Weekly Plan and a Monthly Plan (or other frequencies) which grant a set number of lookup credits or searches per billing cycle. For instance, a weekly subscription might include a certain number of lookups per week, and a monthly subscription might include a higher number of lookups per month. Unused credits in a billing cycle may roll over to subsequent cycles, subject to a maximum carry-over cap (e.g. up to 100 credits) to prevent unlimited accumulation. Details of credit rollover, if applicable, will be provided in the plan description at purchase.
3.4 One-Time Purchases and Add-Ons
In addition to subscriptions, we may offer one-time purchase options or add-on features to enhance your use of the Services. Examples might include the ability to download reports as PDF files, access specialized background check databases (such as sex offender registry checks), or retrieve data breach/leaked data reports. These add-ons, if available, will be clearly priced and may be accessible only during an active subscription period. One-time purchases do not automatically renew, but features will remain available for the duration specified (for example, an add-on feature might remain active as long as your base subscription is active).
3.5 Pricing and Currency
All fees are stated in U.S. Dollars (USD) unless otherwise specified. If you are accessing the Services from outside the United States, the price may be displayed or charged in your local currency, or your payment method provider may convert the charge to your local currency. We are not responsible for exchange rates or foreign transaction fees your bank or card issuer may apply. In certain regions (e.g. UK, EU, Canada, Australia), we may directly list prices in local currency for convenience; where we do so, the charge will typically be processed in that local currency. For regions where local currency pricing is not offered, transactions will be processed in USD and your financial institution will handle conversion.
3.6 Billing and Automatic Renewal
By subscribing to a paid plan, you authorize USRL to charge the recurring subscription fee to the payment method you provide, on the schedule disclosed (e.g. weekly or monthly). Subscriptions will automatically renew at the end of each billing period (e.g. on the same day of the week or month that you signed up) unless and until you cancel. We will bill your chosen payment method automatically upon renewal without further action by you, and you agree that we may do so. If you upgrade or change your plan, you agree that the new pricing will apply from your next billing cycle or as otherwise communicated.
3.7 Payment Methods
We accept major credit and debit cards and may accept other payment methods (such as PayPal, Apple Pay, etc.) as indicated at checkout. By providing a payment method, you represent that you are authorized to use that method and that all payment information you provide is accurate. If your payment method on file is declined or fails, we will attempt to notify you and may retry the charge. If payment remains unsuccessful, we may suspend or restrict your account and access to Services until payment is received. You remain responsible for any unpaid amounts.
3.8 Promotional Pricing and Changes
Subscription fees may vary based on promotions, introductory offers, or changes in pricing. If we offer a promotional rate for a period of time, you will be charged the promotional price during that period and then the regular price afterward. We reserve the right to adjust pricing for our Services or any components thereof in any manner and at any time as we may determine in our sole discretion. If the subscription fee for your plan changes (other than due to applicable taxes or currency fluctuations), we will give you advance notice of these changes and an opportunity to cancel. If you do not cancel, the new rate will apply at your next billing cycle.
4. Cancellation and Refund Policy
4.1 Cancellation Rights
You may cancel your subscription at any time to prevent future charges. There are no long-term contracts – you control your subscription. To cancel, log in to your account and follow the instructions in our account settings or Cancellation Portal (available via our Help Center or website). Cancellation is effective at the end of the current billing period. This means you will retain access to the Services and any remaining lookup credits until the current paid term expires, but your subscription will not auto-renew afterward. We will send a confirmation email when your cancellation is processed. You will not be charged for any subsequent billing periods, but no prorated refunds are provided for the unused portion of the current period except where required by law or explicitly stated by us.
4.2 Advance Cancellation Scheduling
If you cancel during a trial period, cancellation will typically take effect immediately and you will not be charged for the full subscription (ensure you cancel at least 24 hours before the trial ends to avoid the charge). If you cancel an active subscription mid-cycle, you can continue to use the remaining credits/time in your plan until your paid term ends. You will not receive a further charge after that. We do not require phone calls or any cumbersome process to cancel – our aim is to make cancellation straightforward and self-service. However, if you encounter any issues using our online cancellation method, you may contact our support team via email or the Contact Us page for assistance.
4.3 Refund Policy
Fees for subscriptions (beyond any trial fee) are generally non-refundable. This means that once a billing period has been charged, we do not offer full or partial refunds for that period if you decide to stop using the Services mid-term, except in the following situations: Trial Refunds: If we offered a low-cost trial (e.g., $1.00 or $3.99 trial period) and you were charged for the trial, we may refund the trial fee upon request if you cancel within the trial period and have not used any included credits or otherwise made substantial use of the Services during that trial. Such requests must be made within a reasonable time (for example, within 7 days of the trial charge). Service Issues: If a technical problem or extended outage (lasting more than 24 hours) on our end prevents you from using the Services, you may contact us to request a remedy. Depending on the circumstances, we may extend your subscription access or, in rare cases, issue a partial credit or refund for the affected period. We will evaluate service disruption issues case-by-case. Billing Errors: If you were charged in error (for example, you were double-billed due to a system error, or charged an incorrect amount), we will correct the issue. This may involve refunding the overcharged amount or crediting you additional service time or credits, at our discretion. Please notify us as soon as possible if you suspect a billing error, and no later than 30 days from the date of the charge. To request a refund or credit, please contact Customer Support with your account email and details of your request. Approved refunds will be issued to the original payment method whenever possible. Please note that processing of refunds can take several business days. If you purchased through a mobile app store or third-party platform, the refund might be handled by that platform's policies (we will inform you if so). Except as described above or as required by applicable law, we do not offer refunds for subscriptions or one-time purchases. Once a subscription term begins (after any trial), the fees for that term are owed in full. Canceling stops future billing but does not trigger a refund for the remaining days in the current term. We encourage you to use any remaining credits or features before the subscription expires.
5. Intellectual Property Rights
5.1 Ownership of the Services
All content, information, software, text, displays, images, video, audio, design, selection, arrangement, and other material provided through our Services (collectively, the "Content") are the property of USRL or our licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. This includes our brand name, logo, and all trademarks and service marks (whether registered or unregistered) owned by us. USRL (and our licensors, if applicable) retain all rights, title, and interest in and to the Services and Content. Nothing in these Terms transfers any ownership of such rights to you.
5.2 License to Use
Subject to your compliance with these Terms and payment of any applicable fees, USRL grants you a limited, revocable, non-exclusive, non-transferable license to access and use our Services and Content for your personal, non-commercial use only. This license is for the sole purpose of enabling you to use and enjoy the benefit of the Services as provided by USRL, in the manner permitted by these Terms. You may not resell any aspect of the Services or Content to any third party. Restrictions: Except as expressly permitted by these Terms or by law, you agree not to copy, reproduce, distribute, publicly display, publicly perform, modify, translate, create derivative works from, download, store, transmit, or otherwise exploit the Services or any Content. You also agree not to remove or alter any copyright, trademark, or other proprietary rights notices on any Content.
5.3 Trademarks
"USReversePhoneLookups," "USRL," and all associated logos, taglines, and designs are trademarks/service marks owned by us. You are not granted any right or license to use any USRL trademarks by these Terms. All other product and company names appearing on the Services may be trademarks of their respective owners and are used for identification purposes only. Any unauthorized use of our trademarks or confusingly similar marks is strictly prohibited.
5.4 Feedback
If you choose to submit suggestions, ideas, or other feedback to us about the Services ("Feedback"), you grant USRL a perpetual, irrevocable, worldwide, sublicensable right to use and incorporate that Feedback into our products and services without compensation to you.
6. User-Generated Content Policy
Our Services may allow users to submit or upload content such as search queries, text, images, comments, reviews, or other materials (collectively, "User Contributions" or "Contributions"). By submitting any User Contributions, you agree to the following: Your Rights to Your Content: You retain any ownership rights you have in the content you post. However, by submitting Contributions, you grant USRL a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Contributions in connection with providing and improving the Services. We will only share personally identifiable content in accordance with our Privacy Policy, but we might use, for example, feedback or suggestions you provide to improve our platform. Lawful and Appropriate Content: You are solely responsible for the content you contribute. You warrant that you own or have obtained all necessary rights, licenses, and permissions to submit the content and to grant us the rights above. Prohibited Contributions: You agree that your Contributions will not: infringe any third-party rights (including copyrights, trademarks, privacy or publicity rights); contain anything that is unlawful, defamatory, libelous, harassing, threatening, hateful, obscene, pornographic, or otherwise objectionable; include personal data of others without proper authority or any sensitive information (e.g., Social Security numbers, financial information) that is not appropriate for disclosure; promote spam or unauthorized advertising; or contain viruses, malware, or any harmful code. No Violation of Others' Rights: If your Contribution includes any personal information or likeness of any person other than yourself, you must have that person's consent to share it. You may not upload content that violates someone else's intellectual property or proprietary rights. If you are posting a review or comment, it should be honest and factually accurate to the best of your knowledge (no knowingly false or misleading statements). Moderation and Removal: We do not routinely review all user submissions, but we reserve the right (though not the obligation) to monitor, screen, remove, or disable any User Contributions at any time for any reason, including if we believe they violate these Terms or applicable law. We also may suspend or terminate your access to the Services if you seriously or repeatedly violate the User Content rules. However, the views and information in User Contributions (if any are made public) are those of the individual users and do not necessarily reflect the views of USRL. We assume no liability for any user-provided content. If you believe another user's content violates these Terms or your rights, please contact us through the Contact Information section below.
7. Use Restrictions (Acceptable Use Policy)
You agree to use USRL's Services only for lawful, appropriate purposes. You must NOT engage in any of the following prohibited activities: Unauthorized Access or Security Breaches: Attempting to interfere with, circumvent, or disable any security or access controls of the Services. This includes trying to gain unauthorized access to any portion of the Service, other users' accounts, or any computer systems or networks associated with the Service. You may not probe, scan, or test the vulnerability of our system or network, or breach any security or authentication measures. Scraping and Data Mining: Using any automated means (such as bots, spiders, or scrapers) to access the Services, gather information, or otherwise extract data, without our prior written permission. You may not use any manual or automated software, devices, or other processes to "crawl" or "spider" any pages of the site. The Services and Content are for personal use via provided user interfaces only. Reverse Engineering: Decompiling, disassembling, or reverse engineering any aspect of our Services (except as permitted by applicable law) is prohibited. You must not attempt to discover the source code or underlying algorithms of any portion of the Services. Misuse of Information (FCRA and other laws): You expressly agree not to use any information obtained from USRL for purposes prohibited by law. In particular, data from our reverse phone lookup must not be used for determining a person's eligibility for credit, insurance, employment, tenancy, or any other purpose covered by the Fair Credit Reporting Act (FCRA) or similar consumer protection laws. USRL is not a Consumer Reporting Agency and our reports are not "consumer reports" as defined by the FCRA. You also must not use our information for stalking, harassing, identity theft, or any unlawful purpose. If you are unsure whether your intended use of information is legal, you should seek legal advice; by using our Services, you agree not to misuse the information in violation of any law or individual's privacy or rights. Reproduction and Resale: You may not resell or commercially exploit the Services or the data you obtain from us. This means you cannot distribute our reports or Content to third parties (other than sharing a single report with a friend or family member for personal use) without our permission. You also may not frame or mirror any part of the Services on any other website or service. Interference with Service Operation: Engaging in any activity that disrupts or interferes with the performance or proper working of the Services, servers, or networks. This includes flooding attacks, introducing any malicious code or malware, performing denial-of-service (DoS) attacks, or otherwise attempting to overload or crash the Service. Impersonation and False Information: You must not impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity in connection with your use of the Service. You may not use the Service to deceive others. Also, you agree not to provide false information when registering or using the Service (e.g., false email address or contact info). Prohibited Content and Behavior: You must not use the Services to transmit or store any content that is illegal, harmful, threatening, abusive, defamatory, vulgar, obscene, or otherwise objectionable. This includes any content that promotes hate or violence toward any group, or any content that would violate any law or regulation. Additionally, you may not use our Services in a manner that could harm minors in any way (for example, by attempting to find information on minors or by posting content inappropriate for minors). Compliance with Applicable Laws: You agree to comply with all laws, regulations, and rules applicable to your use of the Services. This includes privacy laws, intellectual property laws, export control laws, and regulations relating to telecommunication and spam (you must not use information from our Service to send unsolicited marketing or spam messages). Any violation of these use restrictions is grounds for immediate termination or suspension of your access to the Services (see Termination section), and may also expose you to legal liability from us or third parties. We reserve the right to investigate suspected violations and to cooperate with law enforcement in prosecuting users involved in unlawful activities.
8. Limitation of Liability
To the fullest extent permitted by law, USRL and its affiliates, officers, employees, agents, partners, and licensors (the "Released Parties") shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or in connection with your use of (or inability to use) the Services, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory. This includes, without limitation, damages for: (a) loss of profits, revenue, business, or anticipated savings; (b) loss or corruption of data or content; (c) any mistakes, omissions, interruptions, deletion of files or emails, errors, defects, viruses, delays in operation or transmission, or any failure of performance of the Service; (d) any reliance placed on the accuracy or completeness of information provided via the Service; and (e) any third-party claims or losses of any kind. Maximum Liability: In no event will the cumulative liability of the Released Parties for all claims arising out of or related to these Terms or the Services exceed the amount (if any) you paid to USRL for the Services in the six (6) months immediately before the event giving rise to liability. If you have not paid any amount (for example, if you only used free portions of the Service), the Released Parties' total liability shall not exceed US $100. This limitation applies regardless of the form or source of claim or loss, whether the damages were foreseeable, and even if a remedy set forth in these Terms is found to have failed its essential purpose. Jurisdictional Limitations: Some jurisdictions do not allow the exclusion or limitation of certain damages. If such laws apply to you, some of the exclusions or limitations above may not apply to you to the extent prohibited by law. In that event, the liability of the Released Parties will be limited to the maximum extent permitted by applicable law. You agree that the limitations of liability and disclaimers in these Terms reflect a reasonable and fair allocation of risk between you and us, and that these limitations are an essential basis for our ability to provide the Services at affordable rates. You acknowledge that absent your agreement to this limitation of liability, we would not provide the Services to you.
9. Disclaimer of Warranties
USE AT YOUR OWN RISK: The Services and all Content are provided "AS IS" and "AS AVAILABLE". When using our Service, you do so at your own discretion and risk. To the maximum extent allowed by law, USRL and its suppliers and partners disclaim all warranties of any kind, whether express, implied, or statutory, regarding the Services and Content. This includes any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising out of course of dealing or usage of trade. We do not guarantee that the Services will meet your requirements or expectations, or that the results and information provided will be accurate, complete, timely, or error-free. While we strive for a high-quality and reliable service, we make no warranty that the Services will be uninterrupted, secure, or free of viruses or other harmful components. Any material or data obtained through the Service is done at your own discretion, and you are solely responsible for any damage to your device or loss of data that results. Data Accuracy: USRL compiles information from publicly available sources and licensed databases. We do not warrant or guarantee the accuracy, completeness, or usefulness of any information provided in our reports. Information may be outdated, incorrect, or inapplicable to your specific situation. For example, public records can contain errors, or multiple individuals may share similar information causing potential confusion. No Professional Advice: The information provided by the Service is for general informational purposes and personal use only. It is not intended to constitute legal, financial, professional, or expert advice. You should not rely on it as the sole basis for making decisions of importance; if you need professional advice, you should consult a qualified professional. No Warranty for Outcomes: We make no guarantees that using the Service will help you achieve any specific outcome, such as finding a particular individual or verifying an identity to your satisfaction. We also do not warrant that any telephone number search will return results; some numbers may have limited information available. Results may vary significantly from case to case. Third-Party Content: Any links to third-party websites or information from third parties (such as data provided by external databases) are provided "as is" without warranty of any kind. We do not endorse or assume responsibility for any third-party offerings. Consumer Rights: In certain jurisdictions, you may have statutory rights (including certain warranty rights) that cannot be disclaimed. Nothing in these Terms is intended to affect those rights. For example, if you are a consumer in the European Union or United Kingdom, you may have certain legal remedies if the services we provide are not performed with reasonable care and skill or as described. Similarly, some states or countries do not allow the disclaimer of certain warranties. In such cases, the disclaimers in this section will apply to the fullest extent permitted by law, but we do not disclaim any warranty or right that we are prohibited from disclaiming under applicable law.
10. Indemnification
You agree to indemnify, defend, and hold harmless USRL, its parent company, affiliates, and their respective officers, directors, employees, agents, partners, and licensors (the "Indemnified Parties") from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) that arise out of or relate to (a) your use or misuse of the Services or Content, (b) your violation of these Terms or any applicable law or regulation, (c) your infringement or violation of any third-party rights (including intellectual property, confidentiality, privacy, or publicity rights) in connection with your use of the Services or any content you provide, or (d) any dispute you have with a third party relating to your use of the Services. For example, if you use information obtained from USRL in an illegal manner or for an unauthorized purpose and someone brings a claim against us as a result, you agree to indemnify and defend us for that claim. Or if you post content that violates someone else's copyright or privacy, and that person takes action against us, you will cover our costs and damages. Defense and Control: We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. If we do assume the defense of such a matter, you will cooperate with us in that defense (for example, by providing any information or materials we reasonably request). You agree not to settle any such matter without the prior written consent of USRL. We will use reasonable efforts to notify you of any claim or demand that is subject to your indemnification obligation upon becoming aware of it. Your indemnification obligations under this section will survive any termination of your account or the Services, or of these Terms. This means even after you stop using the Services, you will still be responsible for any costs or damages arising from your conduct while you were using them.
11. Governing Law and International Compliance
These Terms and any dispute arising out of or relating to these Terms or the Services will be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles. We choose Delaware law to govern due to its established legal framework for business agreements. However, we do not intend to deprive you of any consumer protections under the law of your home country/region that are mandated by law and cannot be waived by contract. Jurisdiction: You agree that any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be brought exclusively in the state or federal courts located in the State of Delaware, USA (unless arbitration is required as set forth below). You consent to the exercise of personal jurisdiction by these courts and waive any objection that such courts are an inconvenient or improper venue. Notwithstanding the foregoing, if you reside outside the United States, you may also have the right to bring legal proceedings in your local courts under applicable consumer protection laws, and nothing in these Terms is meant to limit any such right that cannot be waived by contract. International Users: If you are located in the European Union (EU), European Economic Area (EEA), or United Kingdom (UK), the laws of your country which are mandatorily applicable to consumer transactions (such as laws regarding cancellation rights, warranties, etc.) will apply to the extent those laws are more beneficial to you than Delaware law. In particular, no provision in these Terms shall affect your rights under EU/UK consumer laws. For instance, if by law you are entitled to certain remedies or a "cooling-off" cancellation period for online services, those rights remain intact (see Regional Provisions below for more details). The choice of Delaware law is intended to apply to procedural and interpretative questions in disputes, but not to override any non-waivable consumer rights under local law. We make no representation that the Services or Content are appropriate or available for use in any particular location. You access the Services on your own initiative and are responsible for compliance with any local laws applicable to your access or use. Some features of our Services (such as certain data reports) may not be available in all countries if prohibited by law or regulation.
12. Dispute Resolution (Arbitration & Class Action Waiver)
Please read this section carefully. It affects your rights by requiring arbitration of disputes (with limited exceptions) and a waiver of your ability to participate in class actions. Informal Resolution: Most customer concerns can be resolved quickly and to your satisfaction by contacting our customer support at our support email address or through our Help Center. You agree to first attempt in good faith to negotiate any dispute, claim, or controversy you may have with us informally for at least 30 days before initiating any formal proceeding. To initiate this process, you must send us a written notice that includes your name, account email, a description of your concern, and the relief you seek. Send this notice to our contact address listed in the Contact Information section. If we are unable to resolve the dispute informally within 30 days, either party may then proceed to the next steps as outlined below. Binding Arbitration: Except for the exceptions below, you and USRL agree that any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Services (collectively, "Disputes") shall be resolved by binding arbitration on an individual basis. This means that you and USRL are each waiving the right to a trial by jury or to participate in a class action. The arbitration will be administered by the American Arbitration Association (AAA) or a comparable arbitration body in accordance with its Consumer Arbitration Rules. If AAA is not available or declines to arbitrate, the parties will agree on an alternative arbitral forum or the court will appoint one. Arbitration Procedure: The arbitration shall be conducted in English. Unless you and USRL agree otherwise, or the arbitrator decides otherwise, any arbitration hearings will take place by video conference or telephone, or if an in-person hearing is required, in a location in the United States reasonably convenient for both parties (with due consideration of the parties' ability to travel and other relevant circumstances). If the parties cannot agree on a location, the arbitrator will determine the location. The arbitrator will have authority to determine the arbitrability of the Dispute and to grant any remedy that would otherwise be available in court, provided that the arbitrator's authority is limited to you and us alone, in one-on-one arbitration. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. Costs of Arbitration: Each party will be responsible for their own attorneys' fees and costs. Arbitration filing fees and arbitrator fees shall be allocated according to the rules of the arbitration provider (for example, AAA's rules), or as otherwise agreed by the parties. However, if your claims have a value of $10,000 or less, we will pay all normal arbitration filing and hearing fees, unless the arbitrator finds that your claims are frivolous or brought in bad faith (in which case the payment of fees will be governed by the AAA rules). Class Action Waiver: You and USRL agree that all Disputes will be resolved on an individual basis only. You may bring claims only on your own behalf. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR ARBITRATION against USRL or as a member of a class of claimants, and an arbitrator shall have no authority to hear or arbitrate any class, collective, or representative proceeding. The arbitrator may award relief (including monetary, injunctive, and declaratory relief) only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim. If a court or arbitrator decides that any part of this class action waiver is unenforceable or invalid, then the arbitration requirement above shall be deemed null and void and the parties agree that the claim will be litigated exclusively in the state or federal courts in Delaware (subject to the governing law and jurisdiction provisions above). Exceptions: Notwithstanding the foregoing arbitration agreement, either party may: (a) bring an individual action in small claims court for disputes or claims within the scope of that court's jurisdiction, as long as the matter remains in that court and advances only on an individual (non-class) basis; (b) pursue enforcement actions or claims for intellectual property infringement (such as trademark, trade secret, copyright, or patent violations) by seeking injunctions or other equitable relief in a court of law; and (c) report unlawful use of the Services to law enforcement or government agencies, and such reports will not be deemed a Dispute under this arbitration agreement. Opt-Out Right: If you do not wish to resolve disputes by binding arbitration or to waive your rights to participate in a class action, you may opt out of this arbitration agreement within 30 days of first accepting these Terms (or within 30 days of any subsequent material change to this section). To opt out, you must send written notice of your decision to opt out to our contact address (see Contact Information). Your opt-out notice must include your name, address, the email associated with your USRL account, and an unequivocal statement that you wish to opt out of arbitration. Opting out of this arbitration agreement will not affect any other parts of these Terms, and you will continue to be bound by the remaining provisions. If you opt out, you and USRL each retain the right to litigate disputes in court, with all rights and defenses available, including the right to a jury trial and the right to participate in a class or representative action. Severability (Arbitration): This Section is governed by the Federal Arbitration Act and evidences a transaction in interstate commerce. Except as provided in the Class Action Waiver above, if any portion of this arbitration agreement is found to be invalid or unenforceable, that portion shall be severed, and the remainder of this Section shall remain in full force and effect.
13. Termination of Access
By You: You are free to stop using our Services at any time. You may delete your account or stop accessing the site. If you wish to delete your account and personal data, please refer to our Privacy Policy or contact us for assistance with account deletion. Keep in mind that termination of your account will result in loss of access to any paid features or stored reports under that account. By Us: We reserve the right to suspend or terminate your access to the Services (or any portion thereof) at our sole discretion, with or without notice, if we determine that you have violated these Terms or if your use of the Services creates risk or legal exposure for us. We may also suspend or terminate the Services if we discontinue the Service offering entirely. In such cases where you have not violated the Terms, and we discontinue the service or terminate your account without cause, we may provide a pro-rata refund for any remaining subscription period you have paid for. Effect of Termination: Upon any termination of your access, whether by you or us, your right to use the Services will immediately cease. We may deactivate or delete your account and remove any content you have provided. However, certain provisions of these Terms will survive termination. This includes, without limitation, license rights granted by you (e.g., in User Contributions), our rights concerning any content you've provided, payment obligations for past charges, and provisions regarding indemnity, disclaimers, limitations of liability, dispute resolution, and governing law. USRL shall not be liable to you or any third party for termination of your account or access to the Services, or for the deletion of content associated with your account, provided such termination or deletion is in accordance with these Terms. If your account is terminated due to a breach of these Terms, you are not entitled to any compensation or remedy (such as a refund). If you believe your account has been suspended or terminated in error, you may contact us to discuss the issue. However, USRL's decision to terminate an account as a result of violations of these Terms is final.
14. Modifications to the Terms and Services
Changes to Terms: As mentioned in the Acceptance section, we may modify these Terms from time to time. If we make material changes, we will provide appropriate notice to you (for example, by posting the updated Terms on our site and updating the "Last Updated" date, or by emailing you if you have an active account or subscription). It is important that you review any modified Terms because if you continue to use the Services after the new Terms take effect, you will be deemed to have accepted the changes. If you do not agree with any changes to the Terms, you should stop using the Services and, if applicable, cancel your subscription. Changes to Services: We are always working to improve and evolve our Services. Therefore, we reserve the right to change, update, or discontinue the Services (or any features or functionality of the Services) at any time, with or without notice. This could include adding or removing features, introducing new data sources, changing user interfaces, or suspending the operation of the Service for maintenance or upgrades. We may also impose limits on certain features or restrict your access to parts or all of the Services without notice or liability. We strive to ensure that any changes will not negatively impact the overall value of the Service you receive. If we discontinue the Service in its entirety or make a change that results in a significant reduction of service functionality for which you have pre-paid, we may provide advance notice and, if appropriate, a refund or credit for the unused portion of your subscription. However, routine updates and changes that are part of the ongoing development of the platform will not entitle users to any refund. Temporary Suspension: From time to time, we may need to suspend the Services (in whole or part) to perform maintenance or to address urgent issues such as security threats. We will try to schedule maintenance during low-usage hours and provide prior notice when feasible. You acknowledge that occasional downtime is inherent in web services and is not a breach of these Terms. Your continued use of the Services after any modifications to the Terms or Services confirms your acceptance of those modifications. The most current version of the Terms will always be available on our website and supersedes all previous versions.

USRL is based in the United States, but we recognize that users in different jurisdictions have specific rights and disclosures provided by local laws. This section provides additional information for users in California, the European Union, the United Kingdom, and other regions, to the extent applicable. 16. Miscellaneous
Entire Agreement: These Terms, together with our Privacy Policy and any additional policies or terms explicitly referenced herein, constitute the entire agreement between you and USRL regarding your use of the Services. They supersede all prior and contemporaneous understandings, agreements, representations, or promises, whether oral or written, regarding the same subject matter. In case of any conflict between these Terms and any other policy or agreement applicable to the Services, these Terms will generally control except where we have expressly stated otherwise in writing. No Waiver: Our failure to enforce any provision of these Terms shall not be considered a waiver of our right to enforce that provision. No waiver by USRL of any breach or default by you shall be deemed a waiver of any preceding or subsequent breach or default. Any waiver of rights or provisions under these Terms will only be effective if it is in writing and signed by an authorized representative of USRL. Severability: If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, that provision shall be eliminated or limited to the minimum extent necessary such that the remainder of the Terms will continue in full force and effect. In other words, the invalid part will be severed, and the rest of the agreement remains binding. The parties further agree to negotiate in good faith a valid, legal, enforceable provision that closely matches the intent of the original provision, if needed. Assignment: You may not assign or transfer your rights or obligations under these Terms to anyone else without our prior written consent. We may assign or transfer our rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets, or by operation of law or otherwise. These Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns. No Third-Party Beneficiaries: These Terms are for the benefit of you and us only. Except as expressly provided in these Terms, no third party has any rights to enforce any term of this agreement. Headings and Interpretation: Section headings in these Terms are for convenience only and have no legal or contractual effect. Words like "including" are to be interpreted without limitation when used in the Terms (meaning "including but not limited to"). The Terms shall not be interpreted against the drafter (we each agree that these Terms were drafted jointly). Survival: Provisions of these Terms which by their nature should survive termination (such as Indemnification, Limitation of Liability, Disclaimer of Warranties, Dispute Resolution, Governing Law, and Entire Agreement) shall continue to be effective after your access to the Service has ended or your account has been closed.
